("THE SOFTWARE") YOU AGREE TO THESE TERMS ON YOUR OWN BEHALF OR, IF YOU INSTALL IT FOR AN
ORGANISATION, ON BEHALF OF THAT ORGANISATION. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE
SOFTWARE.

1. DEFINITIONS

"Binarius", "we", "us": Binarius Systems Private Limited, a company incorporated in India.
"You": the individual or organisation installing or using the Software.
"Software": Binarius AI Code Studio, an integrated development environment based on Eclipse
technology, including its installer, documentation and updates we provide.
"AI Agent": a coding assistant program the Software connects to, such as Claude Code, Gemini
CLI, Codex, GitHub Copilot CLI, or a local model served by Ollama.
"AI Service": an online service operated by a third party that an AI Agent uses (for example
Anthropic, Google, OpenAI or GitHub).
"Output": code, text, tests, commits or other material produced by an AI Agent.

2. LICENCE

2.1 Open source licence. The Software is made available under the Eclipse Public License 2.0
("EPL-2.0"), https://www.eclipse.org/legal/epl-2.0/ . Your rights to use, copy, modify and
distribute the Software's program code are those granted by the EPL-2.0. Nothing in these
terms restricts any right the EPL-2.0 or another applicable open source licence grants you.
2.2 Licence keys and editions. Certain editions or features (for example team administration
and audit export) may require a licence key issued by Binarius. A licence key is personal to
the licensee named in it, is valid for the number of seats and period stated in it, and may
not be shared, resold, altered or circumvented. Fees, seats and support for paid editions are
governed by the order or agreement under which the key was issued.
2.3 Reservation. Binarius reserves all rights not expressly granted, including rights in the
names, logos and branding of the Software.

3. THIRD-PARTY COMPONENTS
----------------------------------------------------------------------------------------------
3.1 The Software includes components owned by third parties, each under its own licence, which
prevails for that component:
- Eclipse Platform, JDT, EGit, m2e and related projects (Eclipse Foundation) - EPL-2.0 and
other open source licences listed in each plug-in's about.html;
- Eclipse JGit - Eclipse Distribution License 1.0 (BSD-3-Clause);
- Jackson - Apache License 2.0;
- Apache Maven components - Apache License 2.0;
- Java runtime from Eclipse JustJ / OpenJDK - GNU GPL v2 with the Classpath Exception.
3.2 A full list of included components and their licences is available in the Software under
Help > About > Installation Details > Plug-ins, and in the about.html files in the plugins
folder. Source code for open source components is available from their projects.

4. AI AGENTS AND AI SERVICES
----------------------------------------------------------------------------------------------
4.1 Not included. AI Agents are not part of the Software. When you choose to use one, it is
downloaded from its publisher (for example from the npm registry or ollama.com) and is
governed by that publisher's licence and terms of service, which you must accept and comply
with separately. Binarius is not a party to those terms.
4.2 Your accounts. Access to online AI Services uses your own accounts, subscriptions or API
keys. You are responsible for any fees, usage limits and compliance with those services'
acceptable-use policies.
4.3 Data sent to AI Services. When you use an online AI Agent, your prompts and the project
files, code and command output the agent reads are sent to its AI Service and processed under
that provider's privacy terms. Do not use online AI Agents with code or data you are not
permitted to share with that provider. The local agent (Ollama) processes data on your
computer and does not send it to an AI Service.
4.4 Actions. AI Agents can create, change and delete files, run builds and tests, and, if you
enable it, run commands, create Git commits and open pull requests. Features such as
Auto-approve let an agent act without asking each time. You decide which permissions to grant
and remain responsible for actions taken in your projects and accounts.

5. AI OUTPUT

5.1 Output is generated automatically and may be incorrect, insecure, incomplete, or similar to
third-party code. You must review, test and approve Output before relying on it, deploying it
or publishing it.
5.2 Binarius does not claim ownership of your code or of Output. Whether Output is protected by
intellectual property rights, and who owns it, may depend on applicable law and on the terms
of the AI Service used. You are responsible for ensuring your use of Output does not infringe
third-party rights or open source licence conditions.
5.3 Output is not professional (legal, security, financial or other) advice.

6. DATA, PRIVACY AND LOCAL RECORDS
----------------------------------------------------------------------------------------------
6.1 Installation count. To count installations, the Software sends Binarius at most once a day
a random installation identifier, the product version, the operating system and whether it is
in evaluation or licensed. It does not send your code, prompts, files, names, accounts or
usage details, and Binarius does not store IP addresses. You can turn this off in Preferences
(Send an anonymous installation count); an administrator can turn it off by policy. Apart
from this, the Software does not send usage data or your code to Binarius.
6.2 Local records. To support review and audit, the Software stores on your computer (or a
folder your administrator chooses): an audit log of AI activity (hashes and counts of file
changes, not file contents), chat history (your prompts and agent replies, with recognised
secrets removed) and agent technical logs. These may contain personal data, such as user
names and prompt text. You, or your organisation as data fiduciary / controller, are
responsible for retention, access control and lawful processing of these records, including
under the Digital Personal Data Protection Act, 2023 (India) and any other applicable law.
These records can be turned off or relocated in Preferences or by an administrator policy.
6.3 Credentials. API keys and tokens you enter are kept in the operating system's secure
storage used by the Software and are passed only to the agent or service they belong to.
6.4 Updates. If an update site is configured, the Software contacts it to check for updates.

7. ORGANISATIONAL USE

An organisation may control the Software through an administrator policy (for example allowed
agents, Git workflow and audit settings). The organisation is responsible for informing its
users about monitoring and audit logging as required by applicable employment and privacy law.

8. RESTRICTIONS

Subject always to your rights under the EPL-2.0 and other open source licences, you must not:
(a) remove or alter copyright, licence or trademark notices; (b) circumvent licence-key checks
for paid editions; (c) use the Software or Output to break the law, infringe others' rights, or
develop malware; or (d) represent a modified version as an official Binarius release.

9. EXPORT CONTROL AND SANCTIONS

The Software includes cryptographic functions (for example TLS and digital signatures). You
agree to comply with all applicable export control and sanctions laws, including those of India
and of the countries from which components originate, and not to use or supply the Software in
violation of them.

"Binarius", "Binarius AI Code Studio" and related logos are trademarks of Binarius Systems Private
Limited. Eclipse is a trademark of the Eclipse Foundation, Inc.; Binarius AI Code Studio is not
affiliated with or endorsed by the Eclipse Foundation. Java and OpenJDK are trademarks or
registered trademarks of Oracle and/or its affiliates. Claude, Gemini, Codex, GitHub Copilot,
Ollama and other names are trademarks of their respective owners; their mention does not imply
endorsement.

11. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, AI AGENTS AND OUTPUT ARE
PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF TITLE, NON-INFRINGEMENT,
MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTY THAT THE SOFTWARE WILL BE
ERROR-FREE OR UNINTERRUPTED (SEE ALSO SECTIONS 5 AND 6 OF THE EPL-2.0).

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BINARIUS AND ITS DIRECTORS, EMPLOYEES AND
SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE
DAMAGES, OR FOR LOSS OF DATA, CODE, PROFITS, REVENUE OR GOODWILL, ARISING FROM THE USE OF OR
INABILITY TO USE THE SOFTWARE, AI AGENTS, AI SERVICES OR OUTPUT, EVEN IF ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. BINARIUS'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE
SHALL NOT EXCEED THE AMOUNT YOU PAID BINARIUS FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE
THE CLAIM, OR INR 1,000 IF YOU PAID NOTHING. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT
CANNOT BE EXCLUDED BY LAW.

13. TERM AND TERMINATION

These terms apply while you use the Software. Rights under a licence key end automatically if
you materially breach these terms or the key expires. Rights granted by the EPL-2.0 end only as
the EPL-2.0 provides. Sections 5, 6, 10, 11, 12 and 14 survive termination.

14. GOVERNING LAW AND DISPUTES

These terms are governed by the laws of India, without regard to conflict-of-law rules. Subject
to any mandatory consumer protection rights, the courts of India shall have exclusive
jurisdiction over disputes arising from these terms. The EPL-2.0 is governed as stated in it.

15. GENERAL
----------------------------------------------------------------------------------------------
If any provision is held unenforceable, the rest remains in effect. Failure to enforce a
provision is not a waiver. We may update these terms for future versions; the terms shipped
with a version apply to that version. These terms, the EPL-2.0 and any order for a paid edition
are the entire agreement on their subject.
